Sales and Delivery Terms

1. General
These Sales and Delivery Terms apply to any purchase or rental from Sodemann Udstillingssystemer A/S, VAT no. 20 81 70 46 (hereinafter referred to as "Sodemann A/S"), unless otherwise agreed in writing. These terms prevail over any conflicting or deviating provisions in the customer's order, the customer's acceptance, or the customer's potential purchasing conditions. Design proposals, display solutions, exhibition systems, booths, and other goods, including graphic production, delivered by Sodemann A/S, are collectively referred to as "products" in the following.

2. Quotations and Customer Information/Material
Quotations from Sodemann A/S are valid for 14 days from the date of the quotation. Sodemann A/S sends an order confirmation. Only orders for which there is a written order confirmation from Sodemann A/S are binding, and only on the terms contained in the order confirmation.

The customer is responsible for ensuring that the print-ready PDF file complies with Sodemann A/S’s graphic guidelines and is the correct size.

Sodemann A/S is not obliged to store or keep this material.

3. Rental
These Sales and Delivery Terms also apply to the rental of products from Sodemann A/S. Unless otherwise agreed, the rental period is 7 days, and the rented items must be returned cleaned, in the same condition as delivered, and in the original packaging. Otherwise, the customer will be invoiced accordingly. The customer is fully responsible for the rented items during the rental period and must ensure that the rented items are properly insured.

4. Prices
All prices are exclusive of VAT. A charge for environmental and packaging tax of €11,31 is applied to each order.
Sodemann A/S is entitled to renegotiate an already concluded agreement if Sodemann A/S can document price changes from its suppliers, increases in material costs, changes in exchange rates, tax and duty increases, freight, and similar. If Sodemann A/S and the customer cannot agree on new terms during renegotiation, Sodemann A/S is entitled to withdraw from an already concluded agreement, without the customer being able to make any claims against Sodemann A/S.

5. Delivery and Delay
The shipment or delivery time will be determined in connection with the agreement, as per point 2. The term "shipment/delivery" refers to the scope and content of the agreement between the parties, as per point 2. Delivery may include the installation of the products if this is part of the agreement between the parties unless otherwise agreed, as per point 2, delivery is from Sodemann A/S' warehouse.

Delivery is primarily carried out by Danske Fragtmænd, and the delivery time depends on the carrier. For deliveries within Denmark, the delivery time is 1-2 working days, with 95% of shipments delivered the next working day after dispatch.

For international deliveries, we offer shipping with TNT or FedEx, where delivery times vary depending on the destination:

  • Europe: 1-3 working days

  • North America: 2-4 working days

  • Asia and Australia: 3-6 working days

  • South America: 4-7 working days

  • Africa: 4-7 working days

Delivery times may be affected by customs processing and local conditions in the destination country.

For online orders, the delivery price for domestic shipments is displayed at checkout. For international shipments, the shipping cost is calculated separately, as it may vary depending on the destination, carrier, and delivery time.

The production time is indicated on the product pages. Products will be dispatched when the complete order is ready, but no later than the specified dispatch date in the order confirmation.

If the delay in delivery is due to delays or difficulties in delivery from Sodemann A/S' subcontractors, regardless of the cause, or force majeure, the delivery time is extended by the number of days the delivery hindrance has been present.

Sodemann A/S is obligated to immediately inform the customer of any delays. In the event of a delay attributed to Sodemann A/S, exceeding 15 working days, and not due to force majeure or similar, the customer is entitled to give Sodemann A/S written notice of a minimum of 10 working days for delivery. If Sodemann A/S cannot deliver in accordance with the agreement before the customer's deadline, the customer can terminate the agreement.

6. Payment and Ownership
The payment options are invoice payment or card payment with Dankort, Visa, MasterCard, and Maestro. For card payments, the amount is charged at dispatch or when the order is ready for collection. No fee is applied for card payments.

The payment system is secured against misuse via SSL (Secure Socket Layer).

Businesses and public institutions have the option for invoice payment with an EAN number.

Payment must be made upon delivery or on the payment date specified in the invoice unless otherwise agreed in writing.

If the customer does not pay on time, Sodemann A/S is entitled to claim interest on the amount due at 1.5% per month from the delivery date or the agreed payment date until payment is made. Sodemann A/S is also entitled to reminder and collection fees, etc., according to the current Interest Act.

The products remain the property of Sodemann A/S until the entire purchase amount, including any interest and costs, such as shipping claims, and any amount Sodemann A/S is entitled to under the parties' contractual relationship, is fully paid.

7. Complaints and Defects
The customer must immediately, upon receipt at the delivery address or after any installation has been completed, inspect the products.

If the customer wishes to claim defects, the customer must immediately and no later than 8 days after receiving the goods, provide Sodemann A/S with written notice of the defects and specify the nature of the defects. If the customer has discovered or should have discovered the defect, and the customer does not complain as stated, the customer cannot later assert the defect. Otherwise, the provisions of the Sale of Goods Act apply.

At Sodemann A/S' discretion, defects in the products will be rectified or the products will be replaced, and the customer is not entitled to terminate the transaction as long as Sodemann A/S' attempts at remediation or replacement are ongoing.

8. Limitation of Liability
A claim for damages against Sodemann A/S cannot exceed the invoice amount for the sold product. Sodemann A/S is not liable for loss of profits, including any direct or indirect loss resulting from delays or defects in the products or circumstances caused by force majeure.

9. Product Liability
Sodemann A/S disclaims product liability to the greatest extent possible, and Sodemann A/S can only be held liable for product liability where applicable law dictates. Therefore, Sodemann A/S is not liable for any property and/or personal injury caused by the products or the final product in which the products may be incorporated, unless mandatory legislation dictates otherwise. The customer is to the greatest extent obliged to indemnify Sodemann A/S against any product liability claims directed at Sodemann A/S by injured parties or others.

10. Marketing Material and Intellectual Property Rights
Sodemann A/S is not responsible for any breaches of copyright or other intellectual property rights committed by the customer.

All information from Sodemann A/S, including design proposals, logos, etc., shown in catalogs, advertisements, images, presentations on Sodemann A/S' website, and similar, is indicative. Such information is only binding to the extent specified in another written agreement.

It should be noted that all intellectual property rights regarding the products, such as drawings, design proposals, concepts, offers, trademarks, logos, technical solutions, etc., belong to Sodemann A/S and may not be transferred, copied, or made available to other manufacturers or intermediaries without the prior written consent of Sodemann A/S. The customer is not entitled to modify, develop, or duplicate such material and products without the prior written consent of Sodemann A/S.

In the event of a breach of this, Sodemann A/S is entitled to terminate any collaboration/commercial relationship with the customer. In this case, the customer is obliged, upon receipt of a written request from Sodemann A/S, to surrender all received material from Sodemann A/S. Sodemann A/S is also entitled, without providing security, to obtain an injunction and compensation claim against continued use of Sodemann A/S' material.

11. Disputes
All disputes between Sodemann A/S and the customer are settled at Sodemann A/S' venue in Aarhus, Denmark, and under the laws of Denmark.
